TERMS OF USE FOR LOYALTY & REWARDS PROGRAM (LARP)

Introduction

PLEASE READ THESE TERMS OF USE CAREFULLY. BY ACCESSING OR PARTICIPATING IN THE KRIPTOMAT LOYALTY AND REWARDS PROGRAM, YOU AGREE TO BE BOUND BY THESE TERMS OF USE AND ALL TERMS INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE TO THESE TERMS OF USE, DO NOT ACCESS OR PARTICIPATE IN THE KRIPTOMAT LOYALTY AND REWARDS PROGRAM.

These Terms of Use include an arbitration provision that governs any disputes between you and us. Unless you opt-out as described in the arbitration provision below, this provision will: eliminate your right to a trial by jury; and substantially affect your rights, including preventing you from bringing, joining or participating in class or consolidated proceedings.

You agree that we may provide notices, disclosures and amendments to these Terms of Use, and other information relating to the Kriptomat Loyalty and Rewards program by electronic means, including posting such information and materials online at https://www.kriptomat.io.

These Terms of Use apply to your access to, and participation in, the Kriptomat Loyalty and Rewards program (hereinafter referred to as the “LARP”) globally unless in those countries, which imposed a prohibition, restriction or other regulatory limitation on acquiring cryptocurrencies. LARP is operated by FintechX OÜ, Pärnu mnt 31, 10119 Tallinn, Estonia or its respective holdings, subsidiaries, licensees and affiliated companies (collectively, “Kriptomat”). These Terms of Use do not alter in any way the terms or conditions of any other agreement you may have with Kriptomat for other products or services, such as Kriptomat cryptocurrency exchange and/or Kriptomat digital wallet.

Kriptomat reserves the right to change or modify these Terms of Use or any other policy, FAQ, or guidelines pertaining to LARP, in whole or in part, at any time and in its sole discretion. Any changes or modifications will be effective immediately upon posting the revisions to www.kriptomat.io, and you waive any right you may have to receive specific notice of such changes or modifications. Your continued access to or participation in LARP following any such changes or modifications confirms your acceptance of these Terms of Use and such changes or modifications; therefore, you should review these Terms of Use and the policies, FAQs and guidelines pertaining to LARP frequently to understand the terms and conditions that apply to your access to and participation in LARP. If you do not agree to these Terms of Use, you must stop accessing and participating in LARP.

LARP is intended for personal use only. LARP is not targeted towards, nor intended for use by anyone under the age of 18.

Please read the Privacy Policy carefully to understand how Kriptomat collects, uses and discloses information about users, how to update or change your personal information, and how we communicate with you.

Dictionary

Dragons – are ERC1155 blockchain items used as discounts on Kriptomat
Ingredients – are ERC115 blockchain items used for crafting a dragon and getting a discount. Examples of ingredients are: Dragon Eggs (Golden, Silver, Purple, Blue, Red, Brown, Black, etc.), Habitats (Volcano nests, Mountaintop nests, Swamp nests, Water nests, Natural Nests, etc.), Eliksirs (Golden, Silver, Purple, Blue, Red, Green, etc.), Food (Pork Ham, Beef Steak, Fresh Fish, Wurst Sausage, Roasted Chicken, etc.).
Items – are ingredients, dragons and other items.
Kriptomat exchange – cryptocurrency exchange platform with integrated digital wallet, operated by FintechX OÜ, Pärnu mnt 31, 10119 Tallinn, Estonia.
Kriptos – are ERC1155 blockchain items used as in-game currency representing loyalty points, which users get when they make buy or sell transactions, or other transactions if so determined by Kriptomat.
Kriptos Balance – the total amount of Kriptos earned when making buy or sell transactions on Kriptomat platform.
KYC – Know your customer is identity verification procedure of a user.
LARP – Loyalty And Rewards Program.
LARP account – special account within Kriptomat exchange, where all the rewards are being collected.
Non-fungible tokens – unique items that can’t be exchanged for the same amount of the same kind, because they are unique, rare (scarce) and each holds several different functionalities and characteristics, such as collectibles.
Rewards – Kriptos, Items, Ingredients, Dragons, Bonuses, Coupons, Discounts or other similar rewards, which user has on the Kriptomat account in LARP program.
User – registered user of Kriptomat platform, who has successfully passed the KYC.

About Kriptomat LARP and how to join

Kriptomat LARP is a way in which Kriptomat endeavors to reward and thank loyal customers for patronizing our business and using Kriptomat services.

To be eligible to join Kriptomat LARP in accordance with these Terms of Use, you must register to Kriptomat platform and successfully pass the KYC. You can join by using a desktop link www.kriptomat.io or mobile app. Read more about the registration process in the Terms of Service.

Earning Rewards

LARP basic rewards are called Kriptos. Kriptos are ERC1155 tokens, which users earn as rewards when executing buying or selling transactions. After every successful buy or sell transaction of any cryptocurrency listed on Kriptomat exchange, user earns a respective amount Kriptos. Kriptos serve as digital representation of loyalty points, which are generated and collected on user account on Kriptomat platform. Users can access their balance and inventory by logging into the user account and clicking “Rewards/Loyalty”.

The purpose of collecting Kriptos is to play mini games (ex. Spin and win) and win the ingredients which are used to craft unique collectible blockchain items, such as dragons, etc. By enabling users to craft the Ingredients, Kriptomat aims to gamify the service. The crafted items can then be used:

As a discount code on transaction fees,
As gaming items in Enjin powered games ,
For any other purpose we add in the future.

Discount codes are given to users who have enough ingredients to craft one of the dragons. Each Dragon represents a different discount code. Discounts can be redeemed for transaction fees or any other purpose as decided so by Kriptomat.

Kriptos, Ingredients and Dragons

Kriptos are ERC1155 blockchain items and they do not represent digital money but are considered as rewards, similar to vouchers. Kriptos are used solely for playing games, winning items and crafting dragons within the loyalty program, unless otherwise decided by Kriptomat. Users can earn Kriptos when making buy or sell transactions on the Kriptomat exchange or in other cases decided by Kriptomat. Earned Kriptos are automatically added to the user’s “Kriptos Balance” on his/her LARP account.

Ingredients are ERC1155 blockchain items and they do not represent digital money but are considered as collectibles or (gaming) items, which enable users to craft a dragon or to be used in games with 3rd party Enjin powered games. The items, won in the game, can be used for the purpose stated in the description of a particular item. Items shall normally be used for crafting a dragon, getting a discount on transaction fees or using them in games within the Enjin ecosystem. All the items (ingredients) are shown in the “Ingredients” section on the user’s account. A user can play a mini game (for example “Spin and win”) to get different ingredients as many times as the balance of Kriptos permits or is sufficient for playing the game. For playing the game a user will spend a certain amount of Kriptos (for example: 100 Kriptos for “Spin and win”)

Dragons are ERC1155 blockchain items and they do not represent digital money but are considered as blockchain collectibles, which give users the opportunity to get discounts on transaction fees on Kriptomat and can be used as a gaming item in Enjin powered games.

All the Kriptos, items and dragons, are shown in the “My inventory” section on the user’s account.

Users can connect their Enjin wallet to the Kriptomat rewards program and they can if they so wish to move all items from their inventory to their Enjin wallet.

Note that neither Kriptos nor any kind of items or dragons can be exchanged for fiat money or any of the cryptocurrencies on Kriptomat. Kriptos, Ingredients or dragons are not listed on any cryptocurrency exchange.

All transactions on the Kriptomat platform are represented in EUROS. No currency exchange is applied to the value of your purchase for the purpose of determining how many Kriptos, Ingredients or Dragon a user has earned. For example, if the value of your purchase is 50 EUR worth of Bitcoin, you will earn 50 Kriptos for your purchase.

Redemption and Expiration of Kriptos, ingredients and dragons

Kriptos are rewards earned automatically when a buy or sell or potentially other transaction is successfully completed. Kriptos cannot be redeemed but are automatically added to your Kriptos balance.

Ingredients are redeemed after a game, such as “Spin and Win” is played. By redeeming the item, it is added to the users’ inventory and can be used to craft a dragon. Dragons can be crafted when the user has a sufficient amount of ingredients of a certain type.

Dragons are blockchain items and are considered as non-fungible tokes or collectibles. Each crafted dragon represents a unique discount code which can be applied on the buy/sell page on Kriptomat platform.

Discounts can be redeemed by using a code, given to user after crafting Dragons. One Dragon can be used one time or multiple times for several discounts, as specified within the LARP on the website.

Kriptos, Ingredients, Dragons, and other rewards do not have an expiration date, however, it is in Kriptomat’s sole discretion to change this and modify the terms and expiration date. It is in the sole discretion of Kriptomat to determine a timeframe in which Discounts expire.

It is in Kriptomat’s sole discretion to determine:

how many Kriptos, Ingredients, Dragons or other rewards users get,
how many ingredients are needed for crafting a Dragon (or any other collectible item),
the number and value of discounts,
for which purpose Kriptos, Ingredients, Dragons, or discounts can and will be used,
how any aspect of the redemption and expiration will function.

Ingredients for crafting can be changed, modified, removed, abolished at any time, including the recipes for crafting. Discounts can be limited by time or unlimited. Kriptomat decides, by its sole discretions, which events and types of transactions can be eligible for discounts or rewards, and which rewards (Ingredients, dragons, etc.) can be used outside Kriptomat LARP on third-party platforms (such as Enjin gaming ecosystem).

Other challenges and quests

Kriptomat may, at any time, decide to make additional challenges or quests, in addition to already existing games or separate challenges for winning additional Kriptos. An example of additional challenge would be: “Login into Kriptomat 5 days in a row and earn 5 Kriptos.” or “If you are an owner of Kriptomat Founders token, you can exchange them for 200 kriptos.” Additionally, Kriptomat may, at any time, decide to grant you free Kriptos for special occasions, such as anniversaries, birthdays, special events, etc.

All quests and challenges are in the sole discretion of Kriptomat to decide to either add or remove the challenge. Kriptomat reserves the right to change the number and type of additional benefits offered to users in its sole discretion at any time. Kriptomat may change the number of Kriptos needed for a certain game.

Change of these Terms, cancellation of LARP program, termination of LARP accounts

These Terms of Use complement and incorporate by reference the Kriptomat Terms of Service and Privacy policy. In the event of any conflict between these LARP Terms and Kriptomat Terms of Service, the Kriptomat Terms of service shall prevail.

There are no participation or membership fees associated with Kriptomat user account. LARP is based solely on user’s active participation on the Kriptomat platform. In case of user’s passive participation, user does not lose any rights or obligations as a user of Kriptomat platform.

Kriptos, Ingredients and Dragons accrued in connection with LARP are promotional and cannot be redeemed for cash. In addition, your redemption of Kriptos, Ingredients or Dragons accrued in connection with LARP cannot be combined with any other offers or discounts that are applicable to the LARP for which you are redeeming them, unless otherwise expressly indicated by Kriptomat.

You may have only one user account that is personal to you and consequently only one LARP account.

Without notice to you, Kriptomat reserves the right to suspend any reward, discount, Kriptos, Item, Dragon registered on your Kriptomat user account and/or terminate your Kriptomat LARP account and/or your participation in Kriptomat LARP if Kriptomat determines, in its sole discretion, that you have violated these Terms of Use or that the use of your LARP program account is unauthorized, deceptive, fraudulent or otherwise unlawful. Kriptomat may, in its sole discretion, suspend, cancel or combine Kriptomat Rewards, such as Kriptos, Ingredients, Dragons or other similar rewards, accounts that appear to be duplicative. In the event that your participation in Kriptomat LARP is terminated, all accrued Rewards in your LARP account are void.

Without notice to you, Kriptomat also reserves the right to deactivate user’s LARP account, cancel or destroy all Kriptos, Ingredients, Dragons, Discounts or other rewards and make ineligible for Kriptomat Rewards any user, whose LARP account has been inactive for one (1) consecutive year. Inactivity is defined as no Rewards earned during such one (1) consecutive year period. In the event that your user account, along with the LARP account is deactivated or rendered inactive, all accrued Rewards account are void.

Kriptomat reserves the right to change, modify, discontinue or cancel Kriptomat LARP or any part of the program, at any time and in its sole discretion, without notice to you.

In case that Kriptomat decides to close the exchange service or the LARP program, users shall keep all blockchain items and Kriptomat shall return the items they have it in Kriptomat system. Users are, at any time, able to transfer and/or keep blockchain items (such as Dragons) in the external Enjin wallet – Collectibles.

No Warranty

THE LARP IS PROVIDED “AS IS” WITH NO WARRANTY OF ANY KIND AND USERS USE THE LARP PROGRAM AT THEIR OWN RISK. KRIPTOMAT EXPRESSLY DISCLAIMS ANY WARRANTY, EXPRESS OR IMPLIED, REGARDING THE SITE OR ITS CONTENT, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.

Furthermore, some of the features, facilities and offers within LARP are provided by external organisations including Partners (such as Enjin), that Kriptomat has made arrangements with, but over which it has no control. Kriptomat does not guarantee or warrant that such services, benefits and facilities will be available, nor will it be liable for any loss or damage arising from the provision, or non-provision, whether in whole or in part of any such benefits or facilities.

Limitation of Liability

UNDER NO CIRCUMSTANCES WILL KRIPTOMAT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE LARP, WHETHER OR NOT KRIPTOMAT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. UNDER NO CIRCUMSTANCES SHALL KRIPTOMAT BE LIABLE TO YOU FOR ANY AMOUNT.

Indemnity

Users are liable for any and all taxes payable, costs, charges, claims or liabilities of whatever nature arising from the use of LARP benefits, facilities or arrangements.

You agree to hold harmless and indemnify Kriptomat, and its employees, agents and representatives, from and against any third party claim arising from or in any way related to your use of the LARP, including any liability or expense arising from all claims, losses, damages (actual and consequential), suits, judgments, litigation costs and attorneys’ fees, of every kind and nature.

No Assignment

You shall not assign these Terms or assign any rights or delegate any obligations hereunder, in whole or in part, whether voluntarily or by operation of law, without Kriptomat’s prior written consent. Any such purported assignment or delegation by you without Kriptomat’s prior written consent will be null and void and of no force or effect, unless otherwise expressly consented to by Company at its sole and absolute discretion.

Other Restrictions on Conduct

You agree not to disrupt, modify or interfere with the functioning of the Kriptomat platform and LARP or any services provided on or through them or with any associated software, hardware or servers in any way and you agree not to impede or interfere with others’ use of them.

Severability and Enforceability

If any provision or portion of these Terms is held illegal, invalid, or unenforceable, in whole or in part, it shall be modified to the minimum extent necessary to correct any deficiencies or replaced with a provision which is as close as is legally permissible to the provision found invalid or unenforceable and shall not affect the legality, validity or enforceability of any other provisions or portions of these Terms

Termination/Exclusion

We reserve the right, in our sole discretion, to revoke any and all rewards, bonuses or other privileges associated with accessing and/or competing on the LARP, and to take any other action we deem appropriate, including but not limited to terminating or suspending your use of the LARP, for no reason or any reason whatsoever, including improper use of the Kriptomat platform or LARP or failure to comply with these Terms.

Governing Law and Jurisdiction

Any dispute arising from these Terms of Use or your access to or participation in LARP will be governed by and construed and enforced in accordance with the laws of Estonia, without regard to conflict of law rules or principles. Any dispute between the parties that is not subject to the proceeding for which the court in Tallinn, Estonia, shall have exclusive jurisdiction.

Validity of the Terms

These terms are valid until changed or modified, but no longer than the validity of LARP.
